Corporate Governance Litigation
The Investor Protection Litigation Department advises institutional investors and high-net-worth individuals on corporate governance matters and can pursue litigation where needed on behalf of activist shareholders. Our lawyers have used shareholder class and derivative litigation to achieve significant benefit to shareholders and companies in connection with corporate transactions, mergers and acquisitions, corporate structure and executive compensation. We can also protect investors by pursuing fiduciary duty claims when board members or managers engage in self-dealing, insider trading, negligent oversight and otherwise fail to fulfil their fiduciary duties to the company.
We work closely with our investor clients, are sensitive to opportunities and seek non-monetary remedies that benefit our investor clients wherever possible.
